Terms of Use

Welcome to Squadline. These Terms of Use ("Terms") constitute a legally binding agreement between you and Cinch Sports Inc. ("Company," "we," "us," or "our") governing your access to and use of the Squadline application (iOS, Android, and web), website, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and Account Registration

You must be at least 13 years old to create a Squadline account. Users under 18 must have permission from a parent or legal guardian. Users under 13 may only access the Service through a parent- or guardian-managed account (see Section 14, Children's Privacy and COPPA).

When you register, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately at support@squadline.com if you suspect unauthorized access.

2. Description of the Service

Squadline is a team management platform for youth sports. Features include team chat, calendars with RSVP, rosters, payment collection, photo sharing, push notifications, and related tools for coaches, parents, and players.

3. Subscriptions and Billing

3.1 Subscription Plans

Squadline offers Free, Team Pro, Club, and Club Pro subscription tiers. Paid plans are available on a monthly or annual basis. Details of features and pricing are displayed in the app and on our website at the time of purchase.

3.2 Auto-Renewable Subscriptions

Paid subscriptions are auto-renewable. Your subscription will automatically renew at the end of each billing period (monthly or annually) unless you cancel at least 24 hours before the end of the current period. Upon renewal, your account will be charged the same amount using the payment method on file.

3.3 Payment Processing

Payments are processed through Apple App Store, Google Play Store, or Stripe, depending on your platform. Payment terms are also subject to the applicable store's terms of service.

3.4 How to Cancel

You may cancel your subscription at any time:

iOS: Go to Settings → Apple ID → Subscriptions → Squadline → Cancel Subscription.
Android: Go to Google Play Store → Menu → Subscriptions → Squadline → Cancel.
Web: Manage your subscription from your account settings within the Squadline app or contact support@squadline.com.

Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date. No refunds are provided for partial billing periods unless required by applicable law.

3.5 Free Trials

If we offer a free trial, you will not be charged during the trial period. At the end of the trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. Any unused portion of a free trial is forfeited upon purchasing a subscription.

3.6 Price Changes

We may change subscription pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing period following notice to you. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4. Team Payments

Squadline enables coaches and team administrators to collect payments from team members via Stripe. Cinch Sports Inc. is not a party to transactions between coaches/administrators and team members. We do not hold funds, guarantee delivery of goods or services, or act as an escrow. Payment disputes between users must be resolved between the parties directly.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable law, regulation, or third-party rights;
Harass, bully, threaten, or intimidate any person;
Upload or distribute content that is obscene, defamatory, hateful, violent, or sexually explicit;
Upload content depicting the exploitation or abuse of minors;
Impersonate another person or entity;
Send spam, unsolicited messages, or commercial solicitations;
Attempt to gain unauthorized access to the Service, other accounts, or our systems;
Reverse engineer, decompile, or disassemble any part of the Service;
Use automated bots, scrapers, or similar tools to access the Service;
Interfere with or disrupt the integrity or performance of the Service.

We reserve the right to investigate violations and take appropriate action, including suspending or terminating accounts and reporting conduct to law enforcement.

6. User Content

6.1 Your Content

You retain ownership of all content you post, upload, or share through the Service ("User Content"), including messages, photos, roster data, and calendar entries. By submitting User Content, you grant Cinch Sports Inc. a non-exclusive, worldwide, royalty-free, sublicensable license to use, store, display, reproduce, and distribute your User Content solely as necessary to operate, improve, and provide the Service.

6.2 Responsibility for Content

You are solely responsible for your User Content. You represent and warrant that you own or have the necessary rights to post your User Content and that it does not violate any third party's rights, including intellectual property and privacy rights.

6.3 Content Moderation

We are not obligated to monitor User Content but reserve the right to review, remove, or disable access to any content that violates these Terms or that we deem objectionable, at our sole discretion and without notice.

7. Intellectual Property

The Service, including its design, code, graphics, logos, trademarks, and all other proprietary materials, is owned by Cinch Sports Inc. and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

8. Third-Party Services

The Service integrates with third-party services including Stripe, Google Maps, Expo, and others. Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected. We do not warrant the accuracy, reliability, or completeness of any content on the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CINCH SPORTS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Cinch Sports Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

13. Termination

You may terminate your account at any time by contacting support@squadline.com or using the account deletion feature in the app.

We may suspend or terminate your account at any time, with or without cause and with or without notice, including for violation of these Terms. Upon termination:

Your right to access the Service ceases immediately;
We may delete your account data in accordance with our Privacy Policy;
Provisions that by their nature should survive termination (including Sections 6, 7, 10, 11, 12, 15, and 16) shall survive.

14. Children's Privacy and COPPA

Squadline is designed for use by youth sports teams, which may include children under 13. We comply with the Children's Online Privacy Protection Act ("COPPA").

Children under 13 may not create accounts directly. A parent or legal guardian must create and manage the account on the child's behalf.
We do not knowingly collect personal information from children under 13 without verifiable parental consent.
Parents may review, modify, or request deletion of their child's data at any time by contacting support@squadline.com.
If we learn that we have collected personal information from a child under 13 without proper consent, we will promptly delete that information.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in California for any disputes arising out of or relating to these Terms or the Service.

16. Dispute Resolution

16.1 Informal Resolution

Before filing any formal proceeding, you agree to first contact us at support@squadline.com and attempt to resolve the dispute informally for at least 30 days.

16.2 Binding Arbitration

If the dispute is not resolved informally, you and Cinch Sports Inc. agree to resolve it through binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration will be conducted in California. The arbitrator's decision shall be final and binding.

16.3 Class Action Waiver

YOU AND CINCH SPORTS INC. AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. NEITHER PARTY MAY BRING CLAIMS AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16.4 Exceptions

Either party may bring claims in small claims court if the claim qualifies. Either party may seek injunctive relief in any court of competent jurisdiction for infringement of intellectual property rights.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the app or by email. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree, you must stop using the Service and cancel your subscription.

18. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Cinch Sports Inc. regarding the Service.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure: We shall not be liable for any failure to perform due to causes beyond our reasonable control.

19. Apple-Specific Terms (iOS Users)

If you access the Service through an Apple device, the following additional terms apply:

These Terms are between you and Cinch Sports Inc., not Apple Inc. Apple is not responsible for the Service or its content.
Apple has no obligation to provide maintenance or support for the Service.
In the event of a failure to conform to any applicable warranty, you may notify Apple for a refund of the purchase price (if any). Apple has no other warranty obligation with respect to the Service.
Apple is not responsible for addressing any claims relating to the Service, including product liability, legal compliance, or intellectual property infringement.
Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
